Merchant Agreement

Effective Date: 10/5/2025

This Merchant Agreement (“Agreement”) is between Here U Go (“HUG,” “we,” or “us”) and the shop (“Merchant,” “you,” or “your”) that is submitting information to join the HUG platform. By completing the onboarding process and agreeing to this Agreement, you accept the following terms:

‍1. Purpose of Agreement
‍HUG is a platform that helps users discover and connect with independent shops. This Agreement sets the expectations for how your shop participates in the HUG platform.

‍2. Merchant Responsibilities
‍By joining HUG, you agree to:
- Provide accurate and up-to-date shop information, including photos, descriptions, contact details, and social media links.
- Select the shop characteristics (e.g., vibe, aesthetic, interests) that best reflect your shop.
- Honor your stated preparation times (e.g., same day, next day, or 3 days).
- Ensure that all information you submit is truthful and not misleading.
- Maintain professional and customer-friendly standards in your shop interactions.

‍3. Prohibited Use
‍You may not:
- Post or submit false, misleading, or offensive content.
- Misuse or resell customer information provided through HUG.
- Use the HUG platform for unlawful or fraudulent purposes.
- Attempt to disrupt, reverse-engineer, or misuse the HUG system.

‍4. HUG’s Role
‍HUG provides a platform for visibility and gift discovery. HUG does not sell, create, or guarantee your products. All customer interactions, purchases, and experiences remain solely your responsibility as the Merchant.

‍5. Intellectual Property
‍You retain ownership of your logos, images, and shop content. By submitting content, you grant HUG a limited license to use, reproduce, and display your shop information and images for marketing and platform purposes. HUG retains ownership of all branding, logos, and platform design.

‍6. Termination
‍HUG may suspend or remove your shop from the platform at any time, especially if:
- You provide inaccurate or misleading information.
- You fail to meet preparation or quality standards.
- You violate this Agreement or applicable law.

You may request removal from HUG at any time by contacting us at hereugolocal@gmail.com.

‍7. Disclaimers & Limitation of Liability
‍HUG does not guarantee customer traffic, sales, or revenue. HUG is not liable for any claims, disputes, or damages that result from your products, services, or customer interactions. Your participation in HUG is at your own discretion and risk.

‍8. Updates to Agreement
‍HUG may update this Agreement from time to time. Updates will be communicated to Merchants and posted with a new “Effective Date.” Continued participation means you accept the updated Agreement.

‍9. Governing Law
‍This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
